Duties and Responsibilities
The Contracts & Compliance Officer will play a key role in managing legal agreements, ensuring compliance, and supporting operational teams. Key responsibilities include:
Contract Management and Legal Drafting
- Prepare, review, and negotiate different types of agreements such as vendor contracts, consultancy agreements, MOUs, NDAs, and service contracts
- Ensure all contracts meet legal standards and align with organizational policies
- Identify potential risks in agreements and suggest practical solutions
- Maintain and improve standard contract templates
Donor and Grant Compliance
- Review and support negotiation of donor and grant agreements
- Guide internal teams on donor requirements, reporting obligations, and compliance standards
- Assist program and finance teams in interpreting funding conditions
- Support structuring agreements with partner organizations
Legal Advisory Support
- Provide legal guidance to departments such as procurement, finance, and program teams
- Participate in project planning to ensure legal considerations are addressed early
- Help staff understand contractual obligations and approval processes
Contract Documentation and Tracking
- Maintain contract management systems for proper record-keeping
- Track contract timelines, renewals, and key deliverables
- Ensure proper legal documentation for high-value or sensitive agreements
Compliance and Risk Management
- Monitor regulatory changes affecting operations
- Identify legal risks and recommend mitigation strategies
- Support implementation of compliance policies and statutory requirements
Dispute Handling
- Assist in resolving contractual disputes or claims
- Work with external legal advisors when necessary
- Support preparation of legal documentation for dispute resolution
Cross-Department Collaboration
- Work closely with legal leadership and other departments
- Provide training on legal processes and compliance awareness
- Promote best practices in contract and risk management

Requirements / Qualifications
Academic Qualifications
- Bachelor of Laws (LLB) degree
- Postgraduate Diploma in Law from the Kenya School of Law
Professional Requirements
- 5–8 years of relevant experience in contract law, commercial law, or nonprofit legal work
- Admission as an Advocate of the High Court of Kenya
- Active membership with the Law Society of Kenya
- Commissioner for Oaths and Notary Public certification is an added advantage
